Welcome to Nearville (“Nearville,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Nearville website, mobile applications, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.


2. Overview of the Services

Nearville operates a peer-to-peer local marketplace that enables users to list items and connect with other users to buy and sell items locally.

Important Notice:
At this time, Nearville does not facilitate payments, escrow, refunds, delivery, or financial transactions of any kind. All transactions, payments, exchanges, and arrangements are conducted directly between Buyers and Sellers outside of the Nearville platform.

Nearville is not a party to any transaction between users.

Certain features (including in-app payments, rentals, or other transaction models) may be introduced in the future and will be governed by updated or supplemental terms.


3. Eligibility and Accounts

You must be at least 18 years old to use the Services.

You agree to:

  • Provide accurate and current information

  • Maintain the confidentiality of your account credentials

  • Be responsible for all activity under your account

Nearville may suspend or terminate accounts that violate these Terms or applicable law.


4. Definitions

Buyer
A user who seeks to purchase an item from another user.

Seller
A user who lists an item for sale.

Item
Any tangible personal property listed on Nearville.

Sale Transaction
Any agreement, exchange, or transaction entered into directly between a Buyer and Seller outside of the Services.


5. Nearville’s Role and Limitations

Nearville provides a listing and discovery platform only.

Nearville:

  • Does not process or facilitate payments

  • Does not set prices or collect fees

  • Does not verify users, items, or listings

  • Does not guarantee that a transaction will occur

  • Does not provide warranties or insurance

All negotiations, payments, deliveries, and disputes occur solely between Buyers and Sellers.


6. Seller Responsibilities

By listing an Item, a Seller represents and warrants that:

  • They are the lawful owner of the Item and authorized to sell it

  • The listing description, images, and condition are accurate

  • The Item complies with all applicable laws

  • The Item is not prohibited under these Terms

Sellers are solely responsible for pricing, communication, payment arrangements, and delivery.


7. Buyer Responsibilities

By engaging with a Seller, a Buyer acknowledges that:

  • Nearville does not inspect or verify Items

  • Items are offered “AS IS,” unless otherwise agreed

  • Nearville is not responsible for Item condition or suitability

Buyers are responsible for inspecting Items and confirming all terms directly with Sellers.


8. Payments and Transactions (Off-Platform)

All payments and exchanges occur outside of Nearville.

Nearville:

  • Does not handle money

  • Does not hold funds

  • Does not issue refunds

  • Does not mediate payment disputes

Users assume all risks associated with off-platform transactions.


9. Delivery, Pickup, and Risk

Buyers and Sellers are responsible for arranging pickup, delivery, or shipping.

Nearville is not responsible for loss, damage, theft, or delays.

Risk of loss is determined solely by agreement between Buyer and Seller.


10. Taxes

Users are solely responsible for determining and paying any applicable taxes. Nearville does not provide tax advice or reporting.


11. Prohibited Items

Users may not list or transact in:

  • Illegal, stolen, or counterfeit goods

  • Items requiring licensing without authorization

  • Weapons, controlled substances, or hazardous materials

  • Items infringing intellectual property rights

Nearville may remove listings and suspend accounts at its discretion.


12. User Conduct

You agree not to:

  • Post false or misleading listings

  • Harass or deceive other users

  • Circumvent platform safeguards

  • Use the Services for unlawful purposes

13. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”

Nearville disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.


14. Limitation of Liability

To the maximum extent permitted by law, Nearville shall not be liable for damages arising from:

  • User-to-user transactions

  • Off-platform payments or exchanges

  • Item defects, losses, or disputes

Nearville’s total liability shall not exceed $100 USD or the minimum amount required by law.


15. Indemnification

You agree to indemnify and hold harmless Nearville from claims arising out of:

  • Your use of the Services

  • Your listings or transactions

  • Your violation of these Terms or applicable law

16. Suspension and Termination

Nearville may suspend or terminate access to the Services at any time to enforce these Terms or protect the platform.


17. Changes to These Terms

Nearville may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.


18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
